Welcome to LVLup Props.

These Terms of Service (the "Terms" or this "Agreement") govern your access to and use of the LVLup Props mobile applications, websites, software, contests, subscription services, and all related products, features, content, and services (collectively, the "Service") offered by LVLup Sports Consulting Inc. ("LVLup Props," "LVLup," "we," "us," or "our").

By creating an account, accessing or using the Service, starting a promotional trial, purchasing a subscription, participating in a contest, or otherwise using any part of the Service, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree to these Terms, you must not access or use the Service.

Certain features of the Service may be subject to additional terms, including contest Official Rules, promotional terms, or policies that are incorporated into these Terms by reference. In the event of a conflict between these Terms and any applicable Official Contest Rules, the Official Contest Rules will govern solely with respect to that contest.

Please read these Terms carefully. The following provisions are particularly important:

Research and Entertainment Only

LVLup Props provides sports betting research, analytics, tracking, contests, and informational tools for entertainment and educational purposes only. We are not a sportsbook, gambling operator, bookmaker, financial advisor, investment advisor, or provider of personalized betting advice.

Nothing available through the Service constitutes a recommendation that you should place a wager or guarantees the outcome of any sporting event.

No Guarantees

Sports are inherently unpredictable. Statistics, odds, projections, injuries, weather, sportsbook information, and other data available through the Service may be incomplete, delayed, or inaccurate.

LVLup Props does not guarantee the accuracy, completeness, availability, profitability, or performance of any information, research, or Content available through the Service.

You are solely responsible for any wagering or financial decisions you make.

Responsible Gaming

If you choose to place wagers with a third-party sportsbook, you do so entirely at your own discretion and risk.

Never wager more than you can afford to lose.

If you believe you or someone you know may have a gambling problem, please seek assistance from an appropriate responsible gaming organization. Responsible gaming resources are provided at the end of these Terms.

Eligibility and Compliance

You are solely responsible for ensuring that:

you meet the minimum legal age required to use the Service and participate in any applicable contests;
your use of the Service complies with all applicable laws in your jurisdiction; and
any wagering you choose to undertake through a third-party sportsbook is legal where you are located.

LVLup Props does not accept wagers or facilitate gambling transactions.

Dispute Resolution

THESE TERMS INCLUDE A PROVISION THAT, TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, WAIVES THE RIGHT TO PURSUE ANY CLASS, GROUP OR REPRESENTATIVE CLAIM AND REQUIRES YOU TO PURSUE PAST, PENDING, AND FUTURE DISPUTES BETWEEN YOU AND US THROUGH INDIVIDUAL ARBITRATION UNLESS YOU OPT OUT WITHIN THE SPECIFIED TIME FRAME. DETAILS CAN BE FOUND IN SECTION 17.

1. DEFINITIONS

Account means the registered user account you create to access certain features of the Service.
Content means all information, text, graphics, images, statistics, odds, historical performance data, player and team information, matchup analysis, trends, proprietary ratings, LVLup Scores, expected value calculations, dashboards, visualizations, software, and other materials made available through the Service.
Contest means any free or paid promotional contest, pick'em competition, survivor contest, playoff pool, challenge, leaderboard, or similar promotional event offered through the Service.
Contest Entry means an eligible entry submitted into a Contest in accordance with the applicable Official Contest Rules.
Free Account means an account that provides access to those portions of the Service made available without payment of subscription fees.
Official Contest Rules means the specific rules governing an individual Contest, including eligibility requirements, entry procedures, scoring, prize structure, deadlines, winner selection, and other contest-specific terms.
Premium Features means those features of the Service that require an active paid subscription or other qualifying access as determined by LVLup Props.
Service means the LVLup Props websites, mobile applications, software, contests, subscription services, Content, and all related products, features, functionality, and services offered by LVLup Props.
Sportsbook Offer means any sportsbook promotion, referral offer, promotional link, advertising content, or third-party offer displayed through the Service.
Subscriber Data means information that you submit, upload, store, or generate through your use of the Service, including account information, saved preferences, tracked bets, watchlists, contest entries, and other user-generated data.
Subscription Plan means any paid subscription tier, including the pricing, billing terms, features, benefits, and access rights associated with that subscription.
Third-Party Services means products, services, websites, sportsbooks, payment processors, software providers, analytics providers, advertising partners, and other services that are owned or operated by parties other than LVLup Props.

2. ELIGIBILITY; RESPONSIBLE USE

2.1 Eligibility. You may use the Service only if you meet the minimum legal age required in your jurisdiction. By creating an account or using the Service, you represent and warrant that you are at least 18 years of age, or such higher age as may be required by the laws of your jurisdiction for accessing sports wagering-related information or participating in contests. If you reside in Canada, you represent that you have reached the legal age applicable to sports wagering-related activities in your province or territory (currently 19 years of age in most provinces and 18 years of age in Alberta, Manitoba, and Québec). You are solely responsible for ensuring that you satisfy all applicable age requirements. If you do not meet these requirements, you must not access or use the Service.

2.2 Legality of Use. LVLup Props is not a sportsbook and does not facilitate or accept wagers. You are solely responsible for ensuring that your use of the Service, participation in any Contest, and any wagering activities you choose to undertake comply with all applicable laws, regulations, and the terms of any third-party sportsbook or service provider. Certain features of the Service, including Contests and Sportsbook Offers, may not be available in all jurisdictions.

2.3 Responsible Gaming. LVLup Props is intended to provide research, information, and entertainment to help users make more informed decisions and have fun. Nothing within the Service should be interpreted as encouraging gambling activity or guaranteeing successful betting outcomes. If you choose to place wagers through a third-party sportsbook, you do so voluntarily and entirely at your own risk. You should never wager more than you can afford to lose. If you believe you or someone close to you may have a gambling problem, we encourage you to seek assistance from an appropriate responsible gaming organization. Responsible gaming resources are provided at the end of these Terms.

3. NATURE OF THE SERVICE; NO ADVICE

3.1 Nature of the Service. LVLup Props is a sports betting research and engagement platform designed to help users discover, research, analyze, and track player proposition wagers and other sports betting opportunities. Depending on your subscription plan, geographic location, and device platform, the Service may include player prop discovery tools, historical player and team statistics, matchup analysis, proprietary ratings and analytics (including LVLup Scores and expected value metrics), betting trends, bet tracking, contests, sportsbook offers, and other informational, research, and entertainment features that we may introduce from time to time. The features and functionality available to you may vary based on your subscription plan, eligibility, or applicable laws.

3.2 No Sportsbook or Gambling Services. LVLup Props is not a sportsbook, bookmaker, gambling operator, fantasy sports operator, or wagering platform. We do not accept or facilitate wagers, determine betting odds, hold customer funds, process gambling transactions, or provide personalized betting recommendations. Any wager you choose to place is solely between you and the applicable third-party sportsbook, which operates under its own terms, policies, and regulatory requirements.

3.3 Research and Informational Purposes Only. The Content made available through the Service is provided solely for informational, research, and entertainment purposes. While we strive to provide accurate and timely information, sports data is inherently dynamic and may be incomplete, delayed, or inaccurate. Statistics, odds, injury reports, schedules, weather information, line movements, and other Content may change without notice. You are solely responsible for evaluating the information available through the Service and for any wagering or financial decisions you make.

3.4 No Guarantee of Results. Sports outcomes are inherently unpredictable. Historical performance, trends, proprietary ratings, expected value calculations, and other analytics provided through the Service are intended to assist your research and should not be interpreted as guarantees of future performance or betting success. LVLup Props makes no representation or warranty that use of the Service will result in profitable wagering, improved betting performance, or any particular financial outcome.

4. ACCOUNTS AND ACCEPTABLE USE

4.1 Account Registration. Certain features of the Service require you to create an Account. You agree to provide accurate, complete, and current information when registering and to promptly update your information if it changes. You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your Account.

If you become aware of any unauthorized access to your Account or any other security incident, you must notify us promptly at support@lvlupprops.ai.

4.2 Personal Use Only. Your Account and any subscription to the Service are licensed solely for your personal, non-commercial use. Unless expressly authorized by LVLup Props, you may not share your Account, permit another person to access it, transfer your subscription, or resell access to the Service. We may implement reasonable technical measures, including device or session limits, to help enforce these restrictions.

4.3 Acceptable Use. You agree to use the Service only for lawful purposes and in accordance with these Terms. You must not:

copy, reproduce, scrape, crawl, or systematically extract Content from the Service;
reverse engineer, decompile, modify, or attempt to access the source code of the Service;
use bots, automated scripts, or other technologies to access or interact with the Service in an unauthorized manner;
interfere with or disrupt the operation, security, or availability of the Service;
upload or transmit viruses, malicious code, or other harmful software;
circumvent subscription requirements, security measures, or usage limitations;
impersonate another person or misrepresent your affiliation with any individual or organization; or
use the Service or its Content to develop or support a competing product or service.

We reserve the right to investigate suspected violations of this Section and to suspend or terminate Accounts that violate these Terms or applicable law.

4.4 Single Account. You are only permitted to hold one Account, including any Inactive Accounts, on the Service. If you attempt to open more than one Account, all Accounts you have opened or attempted to open may be suspended or terminated.

5. FREE ACCOUNTS, SUBSCRIPTIONS, BILLING, AND TRIALS

5.1 Free and Paid Access. LVLup Props offers both free and paid access to the Service. A Free Account provides access to certain features at no cost, while additional functionality, Premium Features, contests, or other benefits may require an active paid subscription. The features included with any subscription plan are described at the time of purchase and may be updated from time to time.

5.2 Promotional Trials. From time to time, LVLup Props may offer promotional trials of paid subscription plans. Unless expressly stated otherwise, promotional trials do not include access to premium contests, contest entries, or other promotional subscription benefits.

At the end of any promotional trial, your subscription will automatically renew as a paid subscription unless you cancel before the trial period ends. We reserve the right to modify, withdraw, or limit promotional trial offers at any time, including based on account eligibility or prior participation.

5.3 Billing and Automatic Renewal. By purchasing a subscription, you authorize LVLup Props and our payment processors to charge the applicable subscription fees, taxes, and any other amounts disclosed at the time of purchase to your selected payment method.

Unless cancelled before the end of the applicable subscription period, all paid subscriptions automatically renew for successive billing periods at the then-current price. Subscription pricing, billing frequency, and renewal terms will be disclosed during the purchase process.

If payment cannot be successfully processed, we may suspend or terminate access to Premium Features until payment is received.

5.4 Subscription Changes. You may upgrade, downgrade, or cancel your subscription in accordance with the billing policies of the platform through which you purchased your subscription, including the Apple App Store, Google Play Store, Stripe, or any other authorized payment provider.

Changes to your subscription may not take effect until the beginning of your next billing period, depending on the applicable platform's billing policies.

5.5 Subscription Benefits. Certain subscription plans may include access to Premium Features, Contest Entries, promotional benefits, or other subscriber-only functionality. Such benefits are offered solely as part of the applicable subscription plan, have no cash value, are non-transferable, and may expire or change from time to time. Unless expressly stated otherwise, unused Contest Entries or similar promotional benefits do not roll over to future billing periods.

5.6 Pricing and Changes. We may modify our subscription plans, pricing, features, or promotional offerings from time to time. If a change affects an existing paid subscription, we will provide notice as required by applicable law or the policies of the platform through which your subscription was purchased.

5.7 Refunds. Except where required by applicable law or the policies of the applicable payment platform, all subscription fees are non-refundable. Refund requests relating to subscriptions purchased through the Apple App Store or Google Play Store are subject to the refund policies of those platforms.

6. CONTESTS

6.1 General. From time to time, LVLup Props may offer free or paid promotional contests, including pick'em contests, survivor contests, playoff pools, challenges, leaderboards, or other promotional competitions (collectively, "Contests"). Participation in a Contest is voluntary and may be subject to eligibility requirements, geographic restrictions, subscription requirements, entry limits, or other conditions.

6.2 Official Contest Rules. Each Contest is governed by its own Official Contest Rules, which form part of these Terms. The Official Contest Rules will describe the eligibility requirements, entry process, submission deadlines, scoring methodology, winner determination, prizes, tie-breaking procedures, and any other contest-specific requirements.

If there is any inconsistency between these Terms and the Official Contest Rules for a particular Contest, the Official Contest Rules will govern solely with respect to that Contest.

6.3 Contest Entries. Certain subscription plans may include Contest Entries or other promotional benefits. Contest Entries are provided solely as a subscription benefit, have no cash value, are non-transferable, non-refundable, and may not be sold, exchanged, or redeemed for cash or credit unless expressly stated otherwise.

Unless otherwise specified in the applicable Official Contest Rules or subscription terms, unused Contest Entries expire and do not carry forward to future subscription periods.

6.4 Contest Availability. Not all Contests will be available to all users. Contest availability may vary based on your jurisdiction, age, subscription status, or other eligibility requirements. LVLup Props reserves the right to modify, suspend, cancel, or discontinue any Contest at any time, subject to applicable law and the applicable Official Contest Rules.

6.5 Prizes. Any prizes offered in connection with a Contest will be described in the applicable Official Contest Rules. Prize values, prize structures, winner selection procedures, and prize fulfillment requirements may vary by Contest.

7. SPORTSBOOK OFFERS AND THIRD-PARTY SERVICES

7.1 Third-Party Services. The Service may include links to, integrations with, or information provided by Third-Party Services, including sportsbooks, payment processors, statistical data providers, advertising partners, and other third parties.

These Third-Party Services are owned and operated independently of LVLup Props. Your interactions with any Third-Party Service are governed solely by that third party's terms, privacy policies, and other applicable agreements.

LVLup Props is not responsible for the availability, accuracy, products, services, content, or practices of any Third-Party Service.

7.2 Sportsbook Offers. The Service may display sportsbook promotions, affiliate links, promotional offers, odds, or other marketing materials provided by third-party sportsbooks or affiliates ("Sportsbook Offers"). LVLup Props may receive compensation if you click on a Sportsbook Offer, create an account with a third-party sportsbook, or complete other qualifying actions.

The availability, eligibility requirements, terms, and value of Sportsbook Offers are determined solely by the applicable third party and may change or be withdrawn at any time without notice. LVLup Props does not guarantee the availability or accuracy of any Sportsbook Offer.

7.3 Third-Party Transactions. Any products, services, promotions, wagers, or transactions that you enter into with a Third-Party Service are solely between you and that third party. LVLup Props is not a party to those transactions and assumes no responsibility or liability arising from them.

8. INTELLECTUAL PROPERTY

8.1 Ownership. The Service, including all Content, software, designs, graphics, text, logos, trademarks, proprietary ratings, analytics, contest formats, databases, and other intellectual property made available through the Service, is owned by or licensed to LVLup Props and is protected by applicable intellectual property laws.

Except for the limited rights expressly granted in these Terms, no ownership rights are transferred to you.

8.2 Limited License. Subject to your continued compliance with these Terms, LVLup Props grants you a limited, revocable, non-exclusive, non-transferable, and non-sublicensable license to access and use the Service solely for your personal, non-commercial use.

8.3 Restrictions. Except as expressly permitted by these Terms or applicable law, you may not reproduce, distribute, modify, publicly display, create derivative works from, commercially exploit, or otherwise use any portion of the Service or its Content without our prior written consent.

8.4 Trademarks. "LVLup Props," "LVLup," and all related names, logos, graphics, and trademarks are the property of LVLup Sports Consulting Inc. or its licensors. Nothing in these Terms grants you any right to use our trademarks without our prior written permission.

9. USER DATA AND PRIVACY

9.1 Your Data. You retain ownership of any Subscriber Data that you submit to or create through the Service. Subject to these Terms and our Privacy Policy, you grant LVLup Props a worldwide, non-exclusive, royalty-free license to host, store, process, reproduce, and otherwise use your Subscriber Data as reasonably necessary to operate, maintain, improve, secure, and provide the Service.

9.2 Service Improvement. We may use aggregated and anonymized information derived from your use of the Service to improve our products, develop new features, perform analytics, and better understand how users interact with the Service. Such information will not identify you personally.

9.3 Data Security. We implement reasonable administrative, technical, and organizational safeguards designed to protect Subscriber Data. However, no system or method of electronic transmission or storage is completely secure, and we cannot guarantee absolute security.

9.4 Privacy Policy. Your use of the Service is also governed by our Privacy Policy, which is incorporated into these Terms by reference.

10. DISCLAIMERS

To the fullest extent permitted by law, the Service and all Content are provided on an "AS IS" and "AS AVAILABLE" basis without warranties of any kind, whether express, implied, statutory, or otherwise.

Without limiting the foregoing, LVLup Props disclaims all warranties relating to merchantability, fitness for a particular purpose, title, non-infringement, accuracy, completeness, reliability, availability, uninterrupted access, or error-free operation of the Service.

We do not warrant that:

the Service will always be available or uninterrupted;
any Content will be accurate, complete, current, or free from errors;
any statistics, odds, or other information will remain current;
the Service will be free from viruses or other harmful components; or
use of the Service will improve betting performance or result in profitable wagering.

You acknowledge that your use of the Service and reliance upon any Content is entirely at your own risk.

11. LIMITATION OF LIABILITY

To the fullest extent permitted by applicable law, LVLup Props, its affiliates, licensors, officers, directors, employees, contractors, and agents shall not be liable for any indirect, incidental, consequential, special, exemplary, or punitive damages, including any loss of profits, revenue, business opportunities, goodwill, data, or anticipated savings arising from or relating to your access to or use of the Service, even if advised of the possibility of such damages.

Without limiting the foregoing, LVLup Props shall not be liable for losses arising from:

your use of or reliance upon any Content;
wagering decisions made by you;
contests or contest outcomes;
sportsbook promotions or Third-Party Services;
interruptions, delays, outages, or technical failures; or
unauthorized access to your Account resulting from your failure to safeguard your credentials.

To the maximum extent permitted by law, the aggregate liability of LVLup Props arising out of or relating to these Terms or the Service shall not exceed the total subscription fees paid by you during the twelve (12) months immediately preceding the event giving rise to the claim.

12. INDEMNIFICATION

You agree to defend, indemnify, and hold harmless LVLup Props, its affiliates, licensors, officers, directors, employees, contractors, and agents from and against any claims, damages, liabilities, losses, costs, and expenses (including reasonable legal fees) arising out of or relating to:

your use of the Service;
your violation of these Terms;
your violation of applicable law;
your violation of the rights of any third party; or
any Subscriber Data or other information that you submit through the Service.

13. SUSPENSION AND TERMINATION

You may stop using the Service or cancel your subscription at any time through the applicable billing platform.

LVLup Props may suspend, restrict, or terminate your Account or access to all or part of the Service immediately if we reasonably believe that:

you have violated these Terms;
you have engaged in fraudulent, abusive, or unlawful conduct;
your use presents a security or operational risk to the Service or other users; or
suspension or termination is otherwise necessary to protect LVLup Props, our users, or third parties.

Termination of your Account does not relieve you of any payment obligations incurred before termination.

Sections of these Terms that by their nature should survive termination—including intellectual property rights, disclaimers, limitations of liability, indemnification, governing law, dispute resolution, and any accrued rights or obligations—will continue in effect following termination.

14. CHANGES TO THE SERVICE

We continually improve and evolve the Service. Accordingly, we may modify, update, suspend, discontinue, or replace any feature, functionality, Content, subscription plan, Contest, Sportsbook Offer, or other aspect of the Service at any time, with or without notice, except where notice is required by applicable law.

15. CHANGES TO THESE TERMS

We may revise these Terms from time to time. If we make material changes, we will update the "Last Updated" date above and provide notice through the Service or by other reasonable means where required by applicable law.

Your continued use of the Service after the revised Terms become effective constitutes your acceptance of the updated Terms.

16. FORCE MAJEURE

LVLup Props shall not be liable for any delay or failure to perform its obligations under these Terms where such delay or failure results from causes beyond our reasonable control, including acts of God, natural disasters, war, terrorism, civil unrest, labour disputes, governmental actions, interruptions to utilities or telecommunications, cyberattacks, internet outages, failures of third-party service providers, or other events beyond our reasonable control.

During any such event, our obligations under these Terms will be suspended for the duration of the event to the extent affected.

17. GOVERNING LAW AND DISPUTE RESOLUTION

17.1 Governing Law. These Terms and any dispute arising out of or relating to the Service shall be governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict of law principles.

17.2 Arbitration Agreement. Any dispute, claim, or controversy arising out of or relating to these Terms or the Service, including its interpretation, validity, enforcement, performance, or termination, shall be, to the fullest extent permitted by applicable law, resolved exclusively by binding arbitration administered by the ADR Institute of Canada ("ADRIC") in accordance with its Arbitration Rules then in effect.

The arbitration shall take place in Toronto, Ontario, before a single arbitrator. Unless otherwise agreed by the parties, the arbitrator shall be appointed in accordance with the ADRIC Arbitration Rules. The arbitration shall be conducted in English, and the arbitrator's decision shall be final and binding upon the parties. Judgment upon the award may be entered in any court having jurisdiction.

Each party shall bear its own legal costs unless the arbitrator determines otherwise in accordance with applicable law and the ADRIC Arbitration Rules.

17.2.1 Arbitration Agreement Opt-Out. YOU HAVE THE RIGHT TO OPT-OUT OF THE BINDING ARBITRATION PROVISIONS SET FORTH ABOVE WITHIN THIRTY (30) DAYS FROM THE DATE THAT YOU FIRST CONSENT TO THIS AGREEMENT.

To exercise your right to opt out, you must contact support@lvlupprops.ai with the subject line ARBITRATION OPT OUT within 30 days of first accepting these Terms. Your email must include your first and last name and a statement that you decline this arbitration clause. By opting out of this clause, you will not be precluded from accessing the Services, but neither you nor LVLup Sports Consulting Inc. will be able to invoke the mutual agreement to individually arbitrate to resolve disputes. Whether to agree to arbitration is an important decision. It is your decision to make, and you are not required to rely solely on the information provided in these Terms. You should take reasonable steps to conduct further research and, if you wish, to consult with the counsel of your choice.

NOTICE OF DECISION TO OPT OUT OF THIS ARBITRATION AGREEMENT SENT AFTER THE THIRTY-DAY PERIOD SHALL NOT BE EFFECTIVE, AND USERS MUST, TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, PURSUE THEIR DISPUTE THROUGH BINDING ARBITRATION OR SMALL CLAIMS COURT.

17.3 Class Action Waiver. To the fullest extent permitted by law, you agree that any claim against LVLup Props must be brought solely in your individual capacity and not as a plaintiff or class member in any class action, collective action, representative proceeding, or similar action.

Nothing in these Terms prevents either party from seeking interim or injunctive relief from a court of competent jurisdiction where necessary to protect its rights pending completion of the arbitration.

18. MISCELLANEOUS

These Terms, together with our Privacy Policy, any applicable Official Contest Rules, and any additional terms expressly incorporated by reference, constitute the entire agreement between you and LVLup Props regarding your use of the Service and supersede all prior or contemporaneous agreements relating to the same subject matter.

If any provision of these Terms is determined to be invalid, illegal, or unenforceable, the remaining provisions will continue in full force and effect.

Our failure to enforce any provision of these Terms shall not constitute a waiver of that provision or any other provision.

You may not assign or transfer these Terms or any rights granted under them without our prior written consent. LVLup Props may assign these Terms without restriction in connection with a merger, acquisition, corporate reorganization, sale of assets, or by operation of law.

Any notices that we provide under these Terms may be delivered electronically, including by email, through the Service, or by posting updated Terms on our website.

Headings are provided for convenience only and do not affect the interpretation of these Terms.
